General Terms of Use for the Customer Card (GTU)<\/h1>

for participation in our loyalty programme \u201cWERNER Card \/ Customer Card\u201d<\/p>

between<\/p>

1. Werner KG, represented by its personally liable partner Christoph Werner, registered in the commercial register of the Local Court (Amtsgericht) of Tostedt under HRA 100324, Kirchweg 6, 21717 Deinste, Germany, Tel.: 0 41 49 \u2013 93 48 40, Mobile: 0 41 49 \u2013 93 48 42 4, Fax: 0 41 49 \u2013 93 48 40, E-mail: hallo@werner-frische.de<\/p>

\u2013 hereinafter also referred to as the \u201cProvider\u201d \u2013<\/p>

and<\/p>

2. the customer named in the contract<\/p>

\u2013 hereinafter also referred to as the \u201cLoyalty Customer\u201d \u2013<\/p>

\u2013 hereinafter jointly referred to as the \u201cParties\u201d \u2013<\/p>

\u00a71 Scope; Definitions<\/strong><\/p>

(1) The business relationship between the Provider and the Loyalty Customer with regard to the loyalty programme \u201cWernerCard \/ Customer Card\u201d shall be governed exclusively by the following General Terms of Use in the version valid at the time of the order. Deviating general terms and conditions of the Loyalty Customer shall not be recognised unless the Provider expressly agrees to their validity in writing. <\/p>

(2) Only natural persons who have reached the age of 18 and have full legal capacity are eligible to participate.<\/p>

(3) The Loyalty Customer is a consumer insofar as the purpose of the ordered deliveries and services cannot predominantly be attributed to their commercial or independent professional activity. By contrast, an entrepreneur is any natural or legal person or partnership with legal capacity that, when concluding the contract, acts in the exercise of its commercial or independent professional activity. <\/p>

(4) The Provider reserves the right to amend the General Terms of Use for participation in the loyalty programme at any time. No amendment shall entitle the Loyalty Customers to compensation. <\/p>

\u00a72 Conclusion of Contract<\/strong><\/p>

(1) The loyalty customer contract is concluded upon the Loyalty Customer\u2019s registration for the loyalty programme. The Loyalty Customer registers for the loyalty programme by completing and submitting or handing in the registration form available in the Provider\u2019s branches, or by completing and sending the registration form available on the Provider\u2019s website. <\/p>

(2) When registering for the loyalty programme in the Provider\u2019s local shops, the Loyalty Customer agrees to these General Terms of Use and to the privacy notice by signing the registration form. These General Terms of Use and the privacy notice are printed on the reverse side of the registration form and, by the Loyalty Customer\u2019s signature, are accepted and thereby incorporated into their application. The application can only be submitted if the Loyalty Customer accepts these General Terms of Use and the Provider\u2019s privacy notice. The General Terms of Use and the privacy notice are printed overleaf on the registration form. The Loyalty Customer receives a copy of this form. <\/p>

(3) When registering on the Provider\u2019s website, the Loyalty Customer accepts the validity of these General Terms of Use and declares their consent to the Provider\u2019s privacy notice by ticking a box before submitting the online form, thereby incorporating these General Terms of Use and the privacy notice into their application. The application can only be submitted if the Loyalty Customer accepts these General Terms of Use and the Provider\u2019s privacy notice. The General Terms of Use and the privacy notice can be viewed via a link in the form and are permanently available on the Provider\u2019s website. <\/p>

(4) The contract language is German.<\/p>

\u00a73 Participation in the Loyalty Programme<\/strong><\/p>

(1) Following acceptance by the Provider, the Loyalty Customer participates in the loyalty programme.<\/p>

(2) The Loyalty Customer receives a loyalty card sent by the Provider. The loyalty card is a prepaid card on which the loyalty points within the meaning of \u00a7 4 of these General Terms of Use are stored. In addition, the loyalty card can be topped up with money and thus used as a means of payment within the meaning of \u00a7 5 (2) of these General Terms of Use. <\/p>

(3) On the registration form, the customer indicates by ticking a box (form in shops) or by ticking a checkbox (online form) that they wish to participate in the marketing programme. Otherwise, the Loyalty Customer only participates in the collection of loyalty points. <\/p>

(4) Participation in the loyalty programme is free of charge.<\/p>

(5) There is no entitlement to participate in the Provider\u2019s loyalty programme. The Provider is entitled to exclude a Loyalty Customer from participation in the loyalty programme at any time without giving reasons. <\/p>

\u00a74 Loyalty Points<\/strong><\/p>

(1) Loyalty Customers can collect loyalty points on purchases made in the Provider\u2019s local shops upon presentation of the loyalty card. For this purpose, it is sufficient for the Loyalty Customer to have the QR code on the loyalty card scanned in the Provider\u2019s branches, or for the Loyalty Customer to identify themselves in the Provider\u2019s branches as a registered Loyalty Customer by providing data stored with the Provider. <\/p>

(2) For each purchase within the meaning of \u00a7 4 (1) of these General Terms of Use, Loyalty Customers are credited with five (5) loyalty points per one (1) euro of goods value. The loyalty points to be credited are calculated on the basis of the gross invoice amount after deduction of all discounts. Payments with gift vouchers and any subscription fees are excluded from this. <\/p>

(3) Loyalty Customers can enquire about their current number of loyalty points at any time from the Provider\u2019s customer support.<\/p>

\u00a75 Redemption of Loyalty Points; Further Benefits<\/strong><\/p>

(1) Loyalty Customers can redeem collected loyalty points at any time when making a purchase in one of the Provider\u2019s local shops. One (1) credited loyalty point within the meaning of \u00a7 4 (2) of these General Terms of Use corresponds to a credit of EUR 0.01. This credit is deducted directly from the purchase price of the respective purchase upon presentation of the loyalty card. To do so, the Loyalty Customer chooses, after consultation with the Provider\u2019s sales staff, to redeem their loyalty points by way of a credit. Cash payment is not possible. <\/p>

(2) Loyalty Customers can also use the loyalty card within the meaning of \u00a7 3 (2) of these General Terms of Use to pay for their purchases in one of the Provider\u2019s local shops. For this purpose, Loyalty Customers can have the loyalty card topped up with money in the Provider\u2019s branches. Loyalty Customers can enquire about the current prepaid balance at any time from the Provider\u2019s customer support. <\/p>

\u00a76 Expiry of Loyalty Points<\/strong><\/p>

(1) The loyalty points collected within a calendar year (1 January to 31 December) expire on 31 April of the following year. If at least 50 loyalty points are available at that time, the Provider issues the Loyalty Customer a credit of EUR 0.01 per loyalty point. This credit can be redeemed until 31 July of the respective year. <\/p>

(2) Any fraud or abuse by the Loyalty Customer in collecting loyalty points may result in the immediate loss of the loyalty points, the denial of the benefits offered and the termination without notice of the Loyalty Customer\u2019s participation in the loyalty programme. The Provider also reserves the right to demand from any Loyalty Customer who has committed fraud within the loyalty programme the reimbursement of all benefits wrongly obtained by the Loyalty Customer. <\/p>

\u00a77 Termination<\/strong><\/p>

(1) The Loyalty Customer may terminate their participation in the loyalty programme at any time by declaration in text form to the Provider.<\/p>

(2) The Provider may terminate the contractual relationship with a notice period of three (3) months by declaration in text form to the Loyalty Customer. In the event of fraud or abuse by the Loyalty Customer in collecting loyalty points, or if there is any other good cause relating to the person of the Loyalty Customer, the Provider may terminate the contractual relationship without notice by declaration in text form to the Loyalty Customer. <\/p>

\u00a78 Liability<\/strong><\/p>

(1) Claims of the Loyalty Customer for damages are excluded. This does not apply to claims for damages by the Loyalty Customer arising from injury to life, body or health or from the breach of essential contractual obligations (cardinal obligations), nor to liability for other damage based on an intentional or grossly negligent breach of duty by the Provider, its legal representatives or vicarious agents. Essential contractual obligations are those whose fulfilment is necessary to achieve the objective of the contract. <\/p>

(2) In the event of a breach of essential contractual obligations, the Provider shall only be liable for the foreseeable damage typical for this type of contract if such damage was caused by simple negligence, unless the claims for damages of the Loyalty Customer arise from injury to life, body or health.<\/p>

(3) The limitations of paragraphs (1) and (2) also apply in favour of the Provider\u2019s legal representatives and vicarious agents if claims are asserted directly against them.<\/p>

(4) The limitations of liability resulting from paragraphs (1) and (2) shall not apply if the Provider has fraudulently concealed a defect or has assumed a guarantee for the quality of the item. The same applies if the Provider and the Loyalty Customer have reached an agreement on the quality of the item. The provisions of the German Product Liability Act (Produkthaftungsgesetz) remain unaffected. <\/p>

\u00a79 Final Provisions<\/strong><\/p>

(1) Contracts between the Provider and Loyalty Customers shall be governed by the law of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The statutory provisions restricting the choice of law and on the applicability of mandatory provisions, in particular those of the state in which the Loyalty Customer as a consumer has their habitual residence, remain unaffected. <\/p>

(2) If the Loyalty Customer is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction for all disputes arising from contractual relationships between the Loyalty Customer and the Provider shall be the Provider\u2019s registered office.<\/p>

(3) The contract shall remain binding in its remaining parts even if individual provisions are legally invalid. The invalid provisions shall be replaced by the statutory provisions, where these exist. However, if this would constitute an unreasonable hardship for one of the contracting parties, the contract as a whole shall become invalid. <\/p>

(4) The Provider\u2019s privacy notice \u2013 printed separately and acknowledged upon conclusion of the contract \u2013 shall apply.<\/p>
